END-USER LICENSE AGREEMENT (EULA)

for Salamanca Software Solutions Reseller Services and Add-ons

This End-User License Agreement (“Agreement”) is a legal agreement between you (either an individual or a legal entity) and Salamanca Software Solutions (“Salamanca”) regarding any software resold, supported, or augmented by Salamanca, including third-party software such as Active Takeoff ("Third-Party Software") and any associated services, plug-ins, documentation, media, or custom-built content delivered by Salamanca (“Value-Added Services”).

1. SCOPE AND RELATIONSHIP TO ORIGINAL SOFTWARE

Salamanca Software Solutions is an authorized reseller and value-added service provider but is not the creator or owner of Active Takeoff or any third-party software provided. All end-user license terms, rights, restrictions, and limitations regarding the original software are governed by the original software provider (e.g., Quoter Software Inc.). This EULA applies only to services, support, and custom content created or offered directly by Salamanca.

2. GRANT OF LICENSE

Salamanca grants you a limited, non-transferable, non-exclusive license to:

• Access custom plug-ins, templates, or databases developed by Salamanca;

• Receive help desk or training services;

• Use Salamanca-provided enhancements in conjunction with licensed copies of Active Takeoff or other resold software, for internal business purposes only.

This license does not grant rights to copy, resell, or redistribute Salamanca’s tools or support materials separately.

3. USER OBLIGATIONS

You agree to:

• Comply with all licensing conditions of the original software provider (e.g., Active Takeoff's EULA);

• Not share, modify, reverse engineer, or distribute Salamanca's proprietary add-ons without written permission;

• Use Salamanca’s services in accordance with applicable laws and only for authorized business purposes.

4. THIRD-PARTY SOFTWARE DISCLAIMER

Salamanca is not responsible for the functionality, support, licensing, or errors related to the core software provided by Quoter Software Inc. or any third-party vendors. You must refer to their respective EULAs for warranty and liability details.

5. TERMINATION

This agreement is effective until terminated. Salamanca may terminate your license to its value-added services if you:

• Violate this agreement;

• Use the services for unlawful purposes;

• Attempt to resell or sublicense Salamanca’s content without authorization.

Upon termination, you must discontinue use and destroy all Salamanca-provided content and documentation.

6. INTELLECTUAL PROPERTY

All custom content, tools, training materials, databases, or enhancements created by Salamanca remain the intellectual property of Salamanca Software Solutions unless explicitly stated otherwise in a signed agreement.

7. NO WARRANTY FOR SERVICES

All Salamanca services and content are provided “as-is” without warranty of any kind. Salamanca makes no guarantee regarding compatibility, performance, or outcomes when using its services with third-party software.

8. LIMITATION OF LIABILITY

To the maximum extent permitted by law, Salamanca shall not be liable for:

• Indirect or incidental damages;

• Loss of data, revenue, or business opportunity;

• Any issue arising from the use or failure of third-party software (e.g., Active Takeoff).

Salamanca’s total liability shall in no case exceed the amount you paid directly to Salamanca for its value-added services.

9. JURISDICTION

This Agreement shall be governed by the laws of the Republic of El Salvador, without regard to conflict of law principles. Disputes arising from this EULA shall be settled under the jurisdiction of El Salvador's courts.

10. LANGUAGE AND TRANSLATION

If this EULA is translated into other languages, the Spanish version shall prevail in case of conflicts.
